Selling Your Business? Trust and Expertise is Key

Selling a business is one of the most significant financial decisions many entrepreneurs will make, yet industry experts say owners often underestimate the complexity of the process and the value of experienced professional guidance.

Unlike selling other assets, a business sale involves far more than finding a willing buyer. Confidentiality, accurate valuations, buyer qualification, financing, negotiation and transaction management all play a role in determining whether a deal reaches a successful conclusion.

According to Thurston Hillebrand, Operations Director for Rawson Business Brokers, business owners should carefully consider the experience and credibility of the brokerage they appoint to manage the sale.

“Many owners believe selling a business is simply about listing it on the market,” says Hillebrand. “In reality, the process requires strategic planning, disciplined execution and constant management. Every stage of the transaction has the potential to either protect or erode the value a business owner has spent years building.”

Hillebrand says recognised brokerage brands can provide an added layer of confidence for prospective buyers. Established firms typically follow structured processes, verify information, maintain strict confidentiality and adhere to professional standards, all of which can encourage greater buyer engagement.

“Trust is a significant factor in any acquisition,” he explains. “When buyers have confidence in the process and in the professionals managing the transaction, they’re often more willing to engage seriously and move forward with negotiations.”

While strong marketing remains important, Hillebrand says the real value of an experienced broker lies behind the scenes. From assessing the true value of a business to qualifying buyers and managing negotiations, professional advisers play an active role in reducing risk for both parties.

“Negotiations begin long before a formal offer is made,” he says. “Experienced brokers understand buyer behaviour, financing structures and valuation principles, allowing them to protect the seller’s interests while keeping the transaction moving.”

Industry experience can also prove invaluable when identifying issues that may otherwise go unnoticed.

James Redelinghuys, Senior Advisor at Rawson Business Brokers, recalls a recent transaction involving the sale of a café where careful scrutiny prevented what could have become a costly legal dispute.

“While valuing the business, the signed annual financial statements didn’t align with other information available,” says Redelinghuys. “After repeatedly questioning the accountant, it emerged that the income had been significantly overstated. Correcting the figures reduced the valuation by almost half, but it also ensured the business was sold at its true market value and prevented serious complications after the sale.”

According to Hillebrand, examples like these illustrate why technical expertise and thorough due diligence remain essential throughout the sales process.

“No two business sales are the same,” he says. “Each transaction presents its own challenges, and having experienced advisers who understand commercial realities can make a significant difference to both the outcome and the seller’s peace of mind.”

He adds that sellers should view the appointment of a business broker as selecting a trusted adviser rather than simply choosing someone to market the business.

“A business often represents years of hard work, personal sacrifice and financial investment,” says Hillebrand. “The right adviser helps ensure that value is accurately represented, protected during negotiations and ultimately realised through a successful transaction.”

As South Africa’s business sales market continues to evolve, industry specialists believe professional guidance is becoming increasingly important, particularly as buyers conduct more rigorous due diligence and transactions become more sophisticated.

For business owners preparing to exit, choosing an experienced brokerage partner may ultimately prove to be one of the most important decisions they make.
